Terms of Service

1. Acceptance of Terms
By accessing or using the Sagewai websites (sagewai.ai and docs.sagewai.ai), software, documentation, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Services.
2. Description of Service
Sagewai provides open-source agent infrastructure software, documentation, and related resources. The Services include our websites, the Sagewai Python SDK, the Admin UI, API documentation, and community resources hosted on third-party platforms such as GitHub.
3. Open-Source Licence
The Sagewai software is released under the GNU Affero General Public License v3.0 (AGPL-3.0). Your use of the software is governed by the terms of that licence. In the event of a conflict between these Terms and the AGPL-3.0, the AGPL-3.0 shall prevail with respect to the software itself.
Commercial licences are available for organisations that cannot comply with the AGPL-3.0 requirements. For details, contact licensing@sagewai.ai.
4. User Responsibilities
You agree to:
- Use the Services only for lawful purposes and in accordance with these Terms.
- Not attempt to gain unauthorised access to any part of the Services or their infrastructure.
- Not interfere with or disrupt the integrity or performance of the Services.
- Not use the Services to distribute malware, spam, or other harmful content.
- Comply with all applicable laws and regulations when using the Services.
5. Intellectual Property
The Sagewai name, logo, and brand assets are trademarks of Ali Arda Diri. All rights not expressly granted under the AGPL-3.0 or a commercial licence are reserved. The website content, design, and documentation (excluding the software itself) are protected by copyright law.
Contributors to the Sagewai open-source project grant rights as specified in the Contributor Licence Agreement (CLA) available in the project repository.
6. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAGEWAI OR ITS OWNER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed one hundred euros (EUR 100).
8. Indemnification
You agree to indemnify, defend, and hold harmless Sagewai and its owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The exclusive venue for any disputes arising out of or relating to these Terms shall be the courts of Berlin, Germany. Nothing in these Terms limits your rights as a consumer under mandatory applicable law, including the laws of your country of residence.
10. Dispute Resolution
Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at hello@sagewai.ai. We will endeavour to resolve the matter within 30 days.
For consumers in the EU, the European Commission provides an Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
11. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the effective date at the top of this page. Your continued use of the Services after such changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
